Simple Access to Products and Services

These purchase program terms (the “Program”) provide EnterpriseDB commercial and government customers flexibility in purchasing and using EnterpriseDB products and services. The Program enables purchases through EnterpriseDB and its authorized resellers, and is available to all customers registered for the Program. Registration for the Program does not obligate you to make a purchase. You may register for the Program or request that EnterpriseDB or its authorized resellers register you. In either case, you will receive an e-mail registration confirmation providing you with an enterprise license agreement ("ELA") number and a link to these terms enabling you to review them prior to purchase. When you are ready to purchase, your submission of a purchase order ("PO") under your ELA number to EnterpriseDB or an authorized reseller constitutes your acceptance of the then current Program terms. Should you authorize a finance company to submit a PO on your behalf under your ELA number, you agree that such submission will likewise constitute your acceptance of the then current Program terms. Ask EnterpriseDB or an authorized reseller for a current list of the EnterpriseDB product and service offerings which are available in your geography. EnterpriseDB may share your account information with its authorized resellers to enable them to support your transactions under this Program.

Pricing, Minimum Purchase and Purchase Terms

Pricing will be established by EnterpriseDB or its resellers.  EnterpriseDB does not control reseller pricing. Either can clarify any minimum initial purchase requirements and/or minimum re-order and renewal requirements in your geography for the product and service offerings of interest to you.  All purchases under the Program are under the terms and conditions of the EnterpriseDB end-user license agreement (“EULA”) which is part of these Program terms and can be viewed at: https://www.enterprisedb.com/legal/EDB-Eula.  All purchases are final with no right of return or refund, except as expressly provided under the EULA. With respect to any PO submitted directly to EnterpriseDB and accepted, payment shall be due net thirty (30) days from the date of invoice. Should any PO identify a “Bill To” other than you, you agree that you remain liable for payment until full payment is made. Products and Services shall be delivered electronically/remotely (unless otherwise specified in a PO for professional services). Nothing contained in any PO or any other document submitted by you or your finance company to EnterpriseDB or its authorized reseller shall add to or otherwise modify the Program terms. The Program terms shall constitute your exclusive agreement with EnterpriseDB relative to your purchase. Authorized EnterpriseDB resellers are independent contractors.

Program Updates

EnterpriseDB may occasionally update these Program terms, including the EULA. When we do, we will also update the "Last Revised" date at the top of these Program terms, or the EULA, as applicable. EnterpriseDB maintains the right to reject a PO for non-compliance with these terms or as otherwise permitted by law. Your Program registration shall continue until terminated by either of us for any or no reason upon thirty (30) days prior e-mail notice. Your payment obligations for any purchases during the term of the Program shall survive any termination of the Program.
